These Terms of Service (“Terms”) are an agreement between you and Mineweb LLC, a Wyoming limited liability company (“Mineweb,” “we,” “us,” or “our”), 30 N Gould St, Sheridan, WY 82801. They govern your use of mineweb.io (the “Site”) and, together with any signed proposal or statement of work, the services we provide (“Services”). By using the Site or engaging our Services, you agree to these Terms. If you do not agree, please do not use the Site.
1. Our Services
Mineweb provides WordPress and WooCommerce development services, including website design and development, migrations, speed optimization, security work, maintenance, and related consulting. The specific scope, deliverables, timeline, and price for any engagement are defined in a written proposal or statement of work (“SOW”) that we both approve before work begins. Our team works remotely, mostly from Belgrade, Serbia. Mineweb LLC is your only contracting party and is responsible for all work done on its behalf.
2. Quotes, payment, and refunds
- Fixed pricing. We quote fixed prices for defined scopes. The quote in your SOW is the price you pay for that scope.
- Scope changes. If you request work beyond the agreed scope, we will quote the change separately before doing it. We do not bill surprise overages.
- Deposit. We start work after you approve the SOW in writing (email is enough) and pay the deposit. Unless the SOW says otherwise, the deposit is 50% of the project price and the remaining 50% is due at completion, before launch.
- Refunds. The deposit is non-refundable unless we agree otherwise in writing. If we fail to deliver the agreed scope and cannot fix it within a reasonable period, we refund the amounts you paid for work we did not deliver.
- Maintenance plans. Maintenance plans are billed monthly in advance.
- Late payment. Invoices are due within 14 days. We may pause work on accounts more than 14 days past due.
- Overpayments. Any payment above the invoiced amount is credited to your account for future work.
- Cancellation. Either party may cancel a project with written notice. You pay for work completed up to the cancellation date. Maintenance plans can be canceled anytime, effective at the end of the current billing period.
3. Your responsibilities
- Provide timely access to the credentials, content, and approvals needed for the work
- Ensure you have the rights to all content and materials you give us to use
- Maintain your own backups of your website before we begin work, unless backup service is part of the engagement
- Review and approve deliverables within the agreed review windows
- Keep WordPress, plugins, and themes updated after handoff, unless you have a maintenance plan with us
4. Intellectual property
- Your ownership. Upon full payment, you own the custom deliverables we create for your project: the design, custom code, and content produced specifically for you.
- Our tools. We retain ownership of our pre-existing tools, code libraries, processes, and know-how. You get a perpetual, non-exclusive license to use them as embedded in your deliverables.
- Third-party components. WordPress, themes, plugins, and other third-party software remain governed by their own licenses (mostly GPL). Any paid licenses purchased for your project (for example, Elementor Pro) belong to you if bought in your name, or must be maintained by you after handoff if provided under our agency license. Your SOW will say which.
- Portfolio use and credit link. We may show completed work in our portfolio and case studies, and we may place a small credit link to Mineweb in the website footer, unless your SOW or NDA says otherwise.
5. Third-party services and software
Websites depend on software and services we do not control: WordPress core, plugins, themes, hosting, payment processors, and APIs. We choose and configure these carefully, but we are not responsible for their defects, security vulnerabilities, price changes, or discontinuation. Where third-party issues affect your site, we will tell you what happened and quote a fix if one is needed and not covered by an active maintenance plan.
6. Warranties and disclaimers
We warrant that our work will materially conform to the agreed SOW for 30 days after delivery, and we will fix nonconforming work at no charge during that period. The warranty does not cover problems caused by changes that you or anyone other than us make to the site. Except for this warranty, the Site and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant specific business outcomes such as search rankings, traffic levels, or conversion rates. We quote expected outcomes in good faith based on experience, but results depend on factors outside our control.
7. Limitation of liability
To the fullest extent permitted by law, Mineweb’s total liability for any claim arising out of or relating to the Site or Services is limited to the greater of USD 100 or the amount you paid us for the specific engagement giving rise to the claim in the 12 months before the claim arose. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if advised of the possibility. The limits in this section do not apply to liability for fraud, gross negligence, or willful misconduct, or to any liability that cannot be limited by law. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
8. Indemnification
You agree to defend, indemnify, and hold Mineweb harmless from and against any third-party claim, and the resulting losses, damages, costs, and reasonable attorneys’ fees, arising out of content or materials you give us (including intellectual property claims), your use of the deliverables in violation of law (including tools or tracking you ask us to install), your breach of these Terms, or your misuse of the Site.
9. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only for the engagement. This obligation survives the end of the engagement. If you need a formal NDA, we sign those routinely; just ask.
10. Use of the Site
- You may use the Site for lawful purposes only. Do not try to break, overload, or gain unauthorized access to the Site. We may block access in case of misuse.
- Content on the Site (text, graphics, videos, and code) belongs to Mineweb or its licensors. You may share pages using links and share buttons, but you may not copy or republish the content without our permission.
- Do not scrape, crawl, or otherwise extract Site content by automated means to copy or republish it or to build a competing product or database, without our written permission. Search engines, AI search and answer services, link previews, and feed readers may read the Site. Do not send automated or abusive submissions through any form on the Site, including the speed test.
- The free speed test and the free website audit are for information only. Speed test results come from Google PageSpeed Insights and change from test to test. Both are provided as is, and we may change, limit, or withdraw either one at any time.
- Applying for a job through the Site does not by itself create an employment or contractor relationship with Mineweb. We handle applicant data as described in our Privacy Policy.
- The Site links to other websites. We do not control them and are not responsible for their content. We may change or remove any link on the Site at any time.
- We do not guarantee that the Site is always available or free of errors.
11. Privacy
How we handle personal information is described in our Privacy Policy and Cookie Policy.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Before filing any claim, both parties agree to attempt to resolve the dispute informally by contacting the other party and allowing 30 days for a response. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. If you use the Site as a consumer outside the United States, this section does not take away protections that the law of your country gives you.
13. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the latest revision. Changes apply prospectively; the terms in effect when you signed an SOW continue to govern that engagement. Continued use of the Site after changes means you accept the updated Terms.
14. General
- Entire agreement. These Terms, any signed proposal or SOW, and any NDA we sign with you are the entire agreement between you and Mineweb about their subject and replace any earlier understandings about it. A proposal or SOW that we both approve in writing, including by email, counts as signed.
- Order of precedence. If a signed SOW or other signed agreement conflicts with these Terms, the SOW or agreement controls for that engagement.
- Severability. If any part of these Terms is found unenforceable, that part will be enforced to the extent allowed and the rest of these Terms stays in effect.
- No waiver. If either party does not enforce a right under these Terms, or delays enforcing it, that is not a waiver of the right.
- Assignment. You may not assign or transfer these Terms or an SOW without our written consent. We may assign them to a successor in a merger, acquisition, or sale of all or substantially all of our assets.
